Welcome to Vellure AI. These Terms and Conditions ("Terms", "Terms of Service") govern your use of our website located at vellure.ai (together or individually "Service") operated by Vellure AI ("us", "we", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Description of Service

Vellure AI provides artificial intelligence software that integrates with Facebook Pages and Facebook Messenger to automate sales, customer service, and conversational flows ("AI Agents"). The Service requires a valid Facebook account and administrative access to the Facebook Page(s) you wish to connect.

2. Accounts and Subscriptions

2.1 Account Creation: When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

2.2 Billing & Payments: You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan you select. Your subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it.

2.3 Cancellations & Refunds: You may cancel your subscription renewal either through your online account management page or by contacting our customer support team. Except when required by law, paid subscription fees are non-refundable.

3. Acceptable Use and Restrictions

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• In any way that violates Meta's (Facebook's) Platform Terms, Developer Policies, or Commerce Policies.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation through our AI Agents.
• To impersonate or attempt to impersonate Vellure AI, a Vellure AI employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Vellure AI or users of the Service, or expose them to liability.

4. Artificial Intelligence and Output Disclaimer

4.1 AI Limitations: You acknowledge that the Service utilizes machine learning models (AI). AI models are probabilistic and may occasionally generate incorrect, inappropriate, or unintended responses ("Hallucinations").

4.2 User Responsibility: You are solely responsible for reviewing and monitoring the outputs generated by your AI Agents. Vellure AI is not responsible or liable for any loss of business, loss of revenue, damaged reputation, or legal disputes arising from statements, promises, or actions taken by the AI Agent on your behalf.

5. Third-Party Services and Platform Integrations

5.1 Meta (Facebook) Integration: Our Service relies on integrations with Meta Platforms, Inc. We do not control Meta, and we are not responsible if Meta changes its API, revokes access, experiences downtime, or if your Facebook account is suspended or banned.

5.2 Third-Party Outages: The Service relies on third-party infrastructure and LLM (Large Language Model) providers. We are not liable for any downtime or disruption of Service caused by these third-party providers.

6. Intellectual Property

The Service and its original content (excluding Content provided by you), features, and functionality are and will remain the exclusive property of Vellure AI and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Vellure AI.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data and the conversational data of your end-users. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

8. Limitation of Liability

In no event shall Vellure AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or if your actions violate Meta's Platform Policies. Upon termination, your right to use the Service will immediately cease.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
